Glibn Online Agreement Form

This Online Agreement Form ("Agreement") is entered into by and between Vinkal Words, operating as Glibn ("Platform", "We", "Us", or "Our"), and the vendor ("Vendor", "You", or "Your") who agrees to list and sell books on the Glibn online marketplace (the "Platform"). By registering as a Vendor and checking the box labelled "I agree to the Online Agreement Terms," You acknowledge that You have read, understood, and agree to be bound by the terms and conditions of this Agreement.

1. Overview of the Platform

Glibn is an online marketplace operated by M/s. Vinkal Words, enabling Vendors to list, market, and sell books to customers ("Customers"). The Platform facilitates order processing, payment collection, and communication between Vendors and Customers. Vendors are responsible for fulfilling orders, including shipping books to Customers, while Glibn handles payments and disbursements as outlined herein.

2. Vendor Responsibilities

2.1 Listing and Inventory

You shall provide accurate, complete, and up-to-date information about Your books, including titles, descriptions, prices, condition, and availability.
You are solely responsible for ensuring that Your listings comply with applicable laws, including intellectual property, copyright, and consumer protection regulations.
You shall maintain sufficient inventory to fulfil orders promptly and update inventory details on the Platform to avoid overselling.

2.2 Order Fulfilment

Upon receiving an order notification from the Platform, You shall process and ship the book(s) to the Customer within the timeframe specified in Your listing or, if not specified, within three (3) business days.
You shall charge Customers for shipping costs, including the cost of online tracking service, unless You offer free shipping as specified in Your listing. You are responsible for packaging and ensuring that books are delivered in the condition described in Your listing. Glibn shall deduct the online tracking service fees from the order amount and remit these to the online tracking service provider company. The remaining amount, after deductions for the platform fee (per Section 3.2) and online tracking service fees, shall be disbursed to You per Section 3.3.
You shall provide dispatch and receiving information to the platform or online tracking service platform, where shall it be necessary.
You are encouraged to obtain shipping insurance for high-value books to mitigate losses from lost or damaged shipments.

2.3 Customer Service

You shall address Customer inquiries, complaints, returns, or refunds within twenty-four (24) hours, adhering to the Platform’s policies.
You agree to comply with Glibn’s return and refund policies as outlined in Section 3.5.

2.4 Performance Standards

You shall maintain a minimum order fulfilment rate of ninety-five percent (95%) and respond to Customer inquiries within twenty-four (24) hours.
Failure to meet performance standards may result in penalties, including temporary suspension or termination of Your account, at Glibn’s discretion.

3. Commercial Terms

3.1 Order and Payment Processing

Glibn shall receive orders and collect payments from Customers on Your behalf through the Platform’s payment gateway.
Payments include the book price, applicable taxes (including Goods and Services Tax, "GST"), and any shipping fees charged to the Customer.

3.2 Platform Fee

Glibn shall deduct a platform fee of fifteen percent (15%) from the total order value (excluding taxes, and shipping fees) for each successful transaction.
The platform fee covers the use of the Platform, payment processing, and order facilitation services.

3.3 Payment Disbursement

Payments collected from Customers, less the platform fee, shall be disbursed to You on a monthly basis, subject to receipt of Your valid invoice, including applicable GST details.
Disbursements shall be made within seven (7) business days of receiving Your invoice, provided the Customer has received the book and no disputes or refunds are pending.
Payments shall be made via bank transfer to the account specified by You during Vendor registration.

3.4 Taxes and Compliance

You are responsible for determining, collecting, and remitting all applicable taxes, including GST, on Your sales through the Platform.
You shall provide accurate GST registration details and ensure that invoices submitted to Glibn comply with GST regulations.
Glibn shall not be liable for any tax obligations arising from Your sales or failure to comply with tax laws.

3.5 Return and Refund Policy

You shall accept returns for books that are damaged, defective, or materially different from the listing description within fourteen (14) days of delivery.
Customers are responsible for return shipping costs unless the return is due to damage, defect, or misrepresentation, in which case You shall bear the cost.
Refunds shall be processed by Glibn on Your behalf, and the refunded amount, including the platform fee, shall be deducted from Your next disbursement.
You shall cooperate with Glibn to resolve return or refund disputes promptly.

4. Prohibited Items

You shall not list or sell items that are illegal, pirated, counterfeit, or violate intellectual property rights, including unauthorized copies of books or content deemed offensive or inappropriate by Glibn.
You shall not list items prohibited by Indian law or Glibn’s content policies, including obscene materials or restricted publications.
Glibn reserves the right to remove prohibited listings and suspend or terminate Your account for violations.

5. Intellectual Property

You represent and warrant that Your listings, including book content, images, and descriptions, do not infringe on the intellectual property rights of any third party.
You grant Glibn a non-exclusive, royalty-free license to use Your listing content (e.g., images, descriptions) for marketing and promotional purposes on the Platform.

6. Data Protection

Glibn shall process Vendor and Customer data in accordance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023, and its Privacy Policy.
You shall not misuse Customer data obtained through the Platform and shall comply with all applicable data protection regulations.
Glibn shall not share Your personal or business data with third parties except as necessary to operate the Platform or comply with legal obligations.

7. Vendor Onboarding and Verification

To activate Your account, You shall submit valid GST registration details and a government-issued identification document (e.g., PAN card, Aadhaar) during registration.
Glibn reserves the right to reject or suspend Your account if verification documents are incomplete, invalid, or suspected to be fraudulent.

8. Term and Termination

This Agreement shall commence upon Your acceptance and continue until terminated by either party.
You may terminate this Agreement by providing thirty (30) days’ written notice to Glibn.
Glibn may terminate this Agreement or suspend Your account immediately for breach of terms, including but not limited to, failure to fulfil orders, listing prohibited items, poor performance metrics, or engaging in fraudulent activities.
Upon termination, Glibn shall disburse any pending payments owed to You, subject to the terms of this Agreement.

9. Limitation of Liability

Glibn shall not be liable for any indirect, incidental, or consequential damages arising from Your use of the Platform, including loss of profits or business opportunities.
Glibn’s total liability under this Agreement shall not exceed the platform fees collected from You in the preceding twelve (12) months.

10. Indemnification

You agree to indemnify and hold Glibn, its affiliates, and employees harmless from any claims, damages, or liabilities arising from Your breach of this Agreement, violation of laws, or infringement of third-party rights.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India.
Any disputes arising under this Agreement shall be resolved through arbitration in Chandigarh, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator appointed by Glibn, in the English language, and the decision shall be final and binding.

12. Miscellaneous

Amendments: Glibn reserves the right to modify this Agreement at any time. Changes will be communicated to You via email or the Platform, and continued use constitutes acceptance.
Force Majeure: Glibn shall not be liable for delays or failures due to events beyond its reasonable control, including natural disasters or technical failures.
Entire Agreement: This Agreement constitutes the entire understanding between You and Glibn, superseding any prior agreements.

Acceptance

By checking the box labelled "I agree to the Online Agreement Terms" and registering as a Vendor, You acknowledge that You have read, understood, and agree to be bound by this Agreement.
